Hawaii Tea Society Board of Directors Meeting – 10/27/08

Present: Randy Nunokawa, Grif Frost, Wayne
Knapstad, Eva lee, Eliah Halpenny, Mike Longo, Sherry Miller, Aileen
Yeh and Dwight Sato. Mike and Eliah were present as general members
only.

Mike Longo agreed to act as secretary for the meeting.

The Minutes of the last meeting were approved.

The meeting started with Sherry handing out copies of the by-laws that she felt were current and accurate.

Bi-Law committee Report: made by Sherri: The By-law committee met with Jim Wilson at his house Friday morning, 24 October 2008 and came to 2 conclusions:

1) The copy of the by-laws that were given to the current BOD was
given

Hawaii Tea Society Board of Directors Meeting – 11/10/08

Members Present:

BOD members: Randy Nunokawa, Alex Wood, Grif Frost, Wayne Knapstad, Eva lee, Mike Longo, Sherri Miller, and Aileen Yeh.

General members: Eliah Halpenny, Bob Jacobson and Jim Wilson.

The Minutes of the last meeting (10/27/08) were approved minor corrections.

The question of the By-Laws was again brought up. Many people remembered something about Term limit but no one could produce a hard copy of the by-laws that listed anything about term limits for BOD officers.

Eva, who was president during the last by-laws revison on 9/25/06, provided the copy of the By Laws that she emphatically stated were the true, accurate and most current set of the HTS By-Laws that were approved by the General membership at the 10/29/2006 General Meeting. (These By-Laws will be attached electronically as soon as I get an electronic copy of them)

MOTION: made by Mike Longo: To accept Eva statement that the By-Laws attached herein, approved on 10/29/2006, are the true and accurate and most current By-Laws of the Hawaii tea Society.

Seconded by Griff and the motion passed

PREPARATION FOR THE NEXT GENERAL MEETING AND ELECTION:

Sherri stated that the general membership was asked to provide nominations for the HTS BOD and that she has received a list of names from the membership. She is trying to get the Bio’s for all people on the nomination list to send out to the general membership when the ballots are sent. The importance of the general membership having the Bios before they vote was discussed.

MOTIONS: After some discussion about what format was to be used for the election the following Motions were made by Eva:

1) That the Nomination committee send out a notice to all candidates on the nomination list and inform them that the Board has met and has approved them as eligible candidates and to provide them with a copy of the current By-Laws.

- Motion seconded by Mike and was passed.

2) That the Nomination Committee send out Ballots to the General Membership:

A) We use the Ballot that was used last year.

B) That each ballot be tagged with a specific numeric code for the member that it is sent to (so that there can only be one vote per member).

C) That members with email addresses be sent the ballot by email and member without email addresses be sent the ballot by snail mail.

D) That all ballots contain adequate instructions regarding the need to return the ballot with the specific code by snail mail only, and in the self address envelope provided and by the deadline date.

E) All received ballots must be postmarked no later that 2 weeks after the date in which the Ballots were sent, in order to be valid.

- Motion was seconded by Randy and the motion passed

General membership moved back to January 2009

Nomination Committee will appoint the Election Committee who will count the Ballots when received. No BOD member or BOD nominee will be allowed on Election committee.

FARM SERVICES AGENCY GRANT:

MOTION: made by EVA: that the Farm Services Agency be asked to make their presentation at the January, 2009, General meeting.

Seconded by Alex….motion passed.

PROPAGATION COMMITTEE REPORT:

Eva briefly described the activity on Kauai. She made 3 presentations and the total number of people in attendance, for all 3 presentations, was 75. There was about a dozen HTS membership applications.

The motion that passed at the last BOD meeting regarding Blank checks needs to be revised to include more money and more checks.

MOTION: Change the balance to the remaining balance in the Grant and change the number of pre-signed checks to 50.

Seconded by Mike and the motion passed

There are approximately 10,000 plants ready to be sold. The possibility of a plant sale at the end of the year was discussed. The question of providing larger plants and seedlings was discussed.

Propagation Program
Report by Shelly

CTAHR Cuttings
to be distributed from Mealani Research Station by way of ADC
funded program. Letter proposing
agreement with HTS received by Shelly and up for discussion. Letter was discussed heavily, Calvin
Sewakie, Hawaii County Administrator for CTAHR, came to answer questions (See
below for Q&A with Calvin Sewakie). He appreciates out efforts and is available by telephone (981-5999) for
further questions. Vote on agreement and signing of
letter from CTAHR: All in favor. Cuttings will be taken July 3^rd by Propagation committee.

Buyers
of the cuttings must agree to give their name for state records and sign
disclaimer to release liability to HTS.

Cutting
Pricing: See Attached sheet.   Comments seem to be that prices are
still low. Proceed donation will be
discontinued. Current Grants
include funds for subsidies of cuttings esp. for HTS members. Vote
on increasing prices to $2 for 1-99 plants, $1.50 for 100-499 plants, $1.00
for 500-1000 plants, and 1000+ plants, negotiable: All in favor. Subsidy may be available through HTS.

Riley
Distribution: another batch of
rooted cuttings is ready for distribution.

Temomi Update by Takahiro

Taka: The process of
making an inquiry about hosting a workshop on Temomi been initiated with the
Society for Temomi preservation in Japan. The next step is to write a formal letter of request. Regarding the table: Taka questions how much are we willing to pay
for a table and suggests the possibility of making a make-shift table because
the full table may be a big project.

Misato reports that according to the Shizuoka Agriculture
Dept: a hoilo can cost $10,000.

Eva states her intention for 2 workshops, one on building the
hoilo and the other processing tea by
the Temomi method.

Notes: The hoilo may be portable. Can it be brought to Hawaii
and then returned to Japan?   The entire budget from the 3 grants gives
total funds of $7400 for Temomi consultation. We may be able to spend most efficiently by finding knowledgeable Temomi
person who is going to be in Honolulu
already.

Timing: Schedule by
September as Grand funds are intended for use before June, with April and May
being peak tea season. After STI
seminar, seminar schedule will become clear.

Membership Committee
Report

Report
on dues increase opinion pole results. Majority of folks approve on increase to $20-25, beginning in
January. Motion to increase dues to
$25, $15 for students through college, and Seniors, 62yrs and over. Vote for raised dues: All in
favor. Increased dues will
begin January 2007 and the only level of membership will continue to be General
Members only. Report on new members: 7 new members in May and June, new total is 77.

Creation
of New Member Packet finished. Discounts will now be given to members at participating businesses
with the HTS member card.

Suggestions
on increasing group unity: Potluck,
merchandise, quarterly general meeting, roving meetings, farm visits, free
plant with membership. Goal is to
get people involved.

Constant
Contact: Newsletter Service $15/mo. Kathy volunteers to compile submitted articles, announcements,
coupons, etc and send out to database of members. Kathy will send a sample of the Coffee
Assn. newsletter.

Minutes for Meeting 05/22/06

Call to order at 5:30

Present at meeting:

Eva Lee, Dwight Sato, Rob Nunally, Mike Longo, Kathy Patton,
Jeanette Baysa, Takahiro Ino, Eliah Halpenny, Cam Muir,
Guests

1) Presidents Report:

Eva Lee distributed a packet of
information to the membership committee. Also distributed a new list of
Nurseries. A logo for HTS has been worked on and was passed around to Board
Members for review.

Eva Lee set up a booth at an Ag Day
event on May 11. About 375 children attended. Examples of tea and sweets were
provided showing the kids that tea has many uses. Eva also provided a tea
presentation.

Last week an official vote was help
voting in favor of a grant to the HTS from District 6 funds. All district 6
representatives voted in favor of providing $7000 in grant funds.

Eva requested delay of last months
minutes pending some changes. We will vote on minutes approval for April at the
next board meeting.

Eva suggested that eventually the
HTS puts together a publication about tea that is an HTS publication.

Reminder was provided regarding the
need for Eva to receive bio
